MD.144/2008 August 8, 2008 Re: Report of the Resolutions of the Board of Directors Meeting To: President The Stock Exchange of Thailand Bangkok Aviation Fuel Services Public Company Limited held the Board of Directors Meeting No. 3/2008 on August 8, 2008, starting from 9:30 hrs. and the meeting passed the following material resolutions: 1. Approve the declaration of interim dividend for operation of the first six months of year 2008 at the rate of Baht 0.15 per share to the holders of 509,997,325 shares whose names appear in the Company's share register book as of August 25, 2008 at 12.00 noon, amounting to the total dividend of Baht 76,499,598.75, and the dividend be paid on September 5, 2008. 2. Approve the Company's purchase of 2,550,000 shares in JP-One Assets Co., Ltd. (JP-One) equivalent to 42.5% of the total registered capital in JP-One from Siam Investment Fund and Finansa Fund Management Limited, thereby bringing the total shareholding of the Company in JP-One from originally 50% to 92.5% at the total purchase price of Baht 300.9 million and the Company's borrowing from financial institutions for the purpose of such purchase of JP-One shares in the amount not exceeding Baht 220 million. 3. Approve the Company to sell its land in Lad Krabang with the total area of 16 Rai 3 Ngarn and 70 square wahs to Mon Transport Co., Ltd. at the price of Baht 100 million. 4. Appoint Mr.Sumon Surathin as a member of the Remuneration Committee, effective from August 8, 2008 onwards. 5. Acknowledge the resignation of Air Marshal Chana U-sathaporn and Mr.Danai Nanasombat from the Company director, effective from August 5, 2008 onwards. 6. Acknowledge the legal action taken against the Company and Thai Aviation Refuelling Co., Ltd, its subsidiary by people within the community surrounding Aviation Fuel Depot at Suvarnabhumi Airport who were allegedly suffered from fuel vapor evaporated from the Company's aviation fuel depot supplied through pipeline, claiming for damages in the amount of Baht 15.3 million (exclusive of interest) and that the case is pending court procedures.
